About The Role

Yuvo is looking for a proactive lawyer with specific expertise in data, privacy, and security issues and/or corporate governance to join our legal team to provide expert advice and guidance to internal stakeholders and business leaders; this position will also require the successful candidate to also work on other subject matter areas and legal work routine to the Legal Department and company. You will serve as the company's strategic business partner and legal resource.

The ideal candidate should have a minimum of 6+ years of experience working in data, privacy, security, and/or corporate governance, with a focus on healthcare law and regulations strongly preferred. This “roll up your sleeves” role requires everything from reviewing contracts to helping develop and inform corporate strategy in relevant areas. This is an excellent opportunity to join a growing Legal Department and make this role your own, gaining exposure to various issues and working with almost every department in the company.

The successful candidate will develop and maintain an in-depth understanding of our business, organizational structure, core business practices, policies and procedures, and related legal and regulatory issues.

This role reports to the General Counsel. This is a fully remote position based in the United States. Standard working hours are flexible, but employees are expected to be online Monday - Friday from 10:00 am EST to 3:00 PM EST.

What You'll Do

Core Data, Privacy, & Security Duties:

  • Ensuring the company's compliance with applicable laws and regulations related to data protection, cyber security, and privacy law;
  • Drafting and revising policies and procedures related to privacy notices, terms of service, incident response plans, information security policies, and other data protection policies;
  • Drafting, revising, and negotiating data, privacy, and security-related agreements, including business associate agreements, data use agreements, vendor agreements, and other privacy technology and privacy-related agreements ((SaaS), software licensing, MSAs, etc.) with customers, vendors, and various partners;
  • Advising and educating internal clients on compliance with privacy and data security law, including HIPAA and all other major U.S. federal and state privacy laws;
  • Ongoing work with other departments and personnel regarding data, privacy, and security work, namely the Technology Department, Chief Technology Officer, and Security Officer;
  • Identifying and evaluating risk to personal data or client compliance postures, including through participation in privacy compliance, data security, and vulnerability assessments;
  • Assisting in responding to privacy questionnaires and inquiries from customers, distributors, and data subjects; and
  • Review vendor and partner privacy policies, identify concerns, and recommend risk mitigation strategies.

Core Corporate Governance Duties:

  • Ensuring the company's compliance with applicable laws and regulations related to corporate governance and corporate transactions, especially Series A and Series B raises;
  • Understand the critical businesses and structure strategies, agreements, and transactions necessary to address critical business issues;
  • Assist with every aspect of the company’s business needs, including antitrust, evolving technology innovations and solutions, IP protection and litigation, governance, regulatory compliance, licensing, venture, private equity, and corporate finance;
  • Act as a strategic partner to assist the General Counsel’s work with the boards of directors in navigating complex business decisions, evaluating corporate governance practices, and responding to activist shareholders and governmental investigations.
  • Assist with structuring the company’s various legal entities, optimizing for expansion and tax considerations, and remaining abreast of applicable filings.
  • Stay up to date with current applicable laws and regulations and changes in those laws and regulations.
  • Work with the General Counsel to identify areas of corporate governance risk and recommend and implement risk mitigation strategies.
  • Work with the General Counsel and external counsel on corporate strategy.

Additional (General) Duties:

  • Drafting, revising, and negotiating other Legal Department contracts, including, without limitation, vendor agreements, participation agreements, memorandums of understanding, letters of intent, and other relevant agreements;
  • Educating internal clients on legal matters pertinent to company operations;
  • Provide general legal assistance and counsel to internal clients on routine legal matters relevant to company operations;

What You'll Bring

  • JD from a nationally accredited law school and an active license to practice law (preferably New York or Ohio, but any state is considered).
  • 6+ years prior in-house or law firm experience providing regulatory counseling on the laws and regulations relating to healthcare.
  • Collegial can-do attitude and ability to work under pressure and manage stakeholders' expectations while exercising mature and reliable judgment in an informal and fast-paced environment.
  • Creative problem-solving ability and focused on achieving stakeholder-friendly and strategic solutions while managing risks.
  • Self-starter with the ability to work independently while contributing successfully to cross-functional teams.
  • Strong process orientation: has proven effectiveness in identifying, developing, and implementing scalable/sustainable processes and other continuous improvements to achieve organizational efficiencies and increase effectiveness.
  • Excellent project management skills: prioritizing multiple tasks and goals to ensure timely, on-target, and budget-mindful accomplishments.
  • Excellent written and verbal communication, time management, and interpersonal skills are critical to this role.

Base Salary Range: $187,000 - $200,000
